Agreement to Terms

By installing, accessing, or using the Uprev application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

Service Description

Uprev provides order editing and upsell functionality for Shopify stores. Our Service includes:

• Order modification capabilities for customers
• Post-purchase upsell and cross-sell features
• AI-powered product recommendations
• Analytics and reporting tools
• Email notification system

Shopify Requirements

To use Uprev, you must:

• Have a valid Shopify store with an active subscription
• Comply with Shopify's Terms of Service and Acceptable Use Policy
• Grant necessary permissions for the app to function
• Maintain accurate store and contact information

Acceptable Use

You agree not to:

• Use the Service for any fraudulent or illegal activity
• Abuse the free trial by creating multiple accounts
• Attempt to circumvent usage limits or billing
• Interfere with or disrupt the Service
• Use the Service to send spam or unsolicited communications
• Violate any applicable laws or regulations
• Resell or redistribute the Service without authorization

Billing and Payment

• All billing is processed through Shopify's billing system
• Pricing is based on the plan selected and usage (order volume)
• A 7-day free trial is available for new users
• Subscriptions are billed monthly through Shopify
• No refunds are provided for partial months of service
• We reserve the right to modify pricing with 30 days notice

Intellectual Property

Our Content: The Service, including its original content, features, and functionality, is owned by Uprev and is protected by international copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of your store data, products, and customer information. By using the Service, you grant us a limited license to use this data solely to provide the Service.

Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

IN NO EVENT SHALL ORDERFLEX BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Any damages exceeding the fees paid to us in the 12 months prior to the claim

Indemnification

You agree to indemnify and hold harmless Uprev and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

Termination

Either party may terminate this agreement at any time:

• You may terminate by uninstalling the app from your Shopify store
• We may terminate or suspend access immediately for Terms violations
• Upon termination, your right to use the Service ceases immediately
• Data retention post-termination is governed by our Privacy Policy

Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States.

Arbitration: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.
